Terms of Service

1. Parties and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Borderless Distribution Network, LLC, a limited liability company incorporated in the State of Delaware, United States of America (File No. 10509801) ("Company", "we", "us", "Jistix").

By accessing or using the Jistix platform at jistix.io ("Service"), you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not access or use the Service.

2. Description of Service

Jistix is an AI-powered freight forwarding and logistics management platform providing:

• Multi-carrier rate quoting and comparison
• Real-time shipment tracking across 224+ shipping lines
• AI-powered document classification and management
• ZATCA Phase 2 e-invoicing compliance tools
• Customs and regulatory compliance assistance for MENA markets
• AI-powered email and message parsing for freight RFQ detection

The Service is provided as software-as-a-service ("SaaS") on a subscription basis. Jistix is not a freight carrier — we provide software tools; actual freight services are provided by third-party carriers. Rate estimates displayed in the platform are not guaranteed — actual rates are determined by carriers at the time of booking.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding contracts in your jurisdiction to use the Service. The Service is intended for business use only. By using the Service, you represent that you are using it for business purposes and not as a consumer.

4. Account Registration

You must provide accurate, current, and complete information during registration, including a professional business email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account. Notify us immediately at security@jistix.io if you suspect unauthorized access.

We reserve the right to refuse registration or terminate accounts at our discretion, including for violation of these Terms.

5. Subscription and Payment

5.1 Founding Member Rate

Founding Member subscriptions are priced at $140.00 USD per month following a 7-day free trial period. Your payment method will be charged automatically at the end of the trial period unless you cancel before the trial expires.

5.2 Rate Lock

Founding Member pricing is locked for the duration of your continuous, uninterrupted membership. If you cancel and subsequently resubscribe, standard pricing in effect at the time of resubscription will apply.

5.3 Payment Processing

All payments are processed by Stripe, Inc. We do not store your payment card information. By providing payment details, you agree to Stripe's terms of service at stripe.com/legal.

5.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support@jistix.io. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods.

5.5 Refund Policy

For annual plans, pro-rata refunds may be issued at our discretion for the unused portion of the billing period. Monthly plans are non-refundable. Refund requests should be submitted to billing@jistix.io.

5.6 Price Changes

We reserve the right to change subscription pricing with 30 days written notice to your registered email address. Founding Member rate locks are honored as specified in Section 5.2.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, national, or international law or regulation
• Process shipments involving sanctioned parties, embargoed countries, or prohibited goods under applicable export control laws
• Transmit false, misleading, or fraudulent information for customs or regulatory purposes
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Reverse engineer, decompile, or extract source code from the Service
• Use the Service in any manner that could damage, disable, or impair the Service
• Share account credentials with individuals outside your organization

We reserve the right to suspend or terminate access for violation of this section without notice. For full details, see our Acceptable Use Policy.

7. Email Integration Terms

7.1 Grant of Permission

By enabling email integration, you grant Jistix permission to access and process incoming emails from your specified email accounts for the purpose of detecting and extracting freight-related data.

7.2 Authority

You represent and warrant that you have the authority to grant such access, and that enabling email integration does not violate any agreement you have with your email provider, employer, or any third party.

7.3 Email Provider Compliance

You are responsible for ensuring that your use of email integration complies with your email provider's terms of service and applicable data protection laws.

7.4 Revocation

You can revoke email access at any time from Settings → Integrations. Upon revocation, cached email content is deleted within 24 hours. Extracted shipment data that has been incorporated into your records is retained per our standard data retention policy.

7.5 Limitations

Email integration is provided on an "as-is" basis. AI-extracted data should be reviewed for accuracy before use. We are not responsible for errors in automated data extraction.

8. Intellectual Property

All content, features, functionality, software, algorithms, trademarks, and trade names associated with the Service are owned by or licensed to Borderless Distribution Network, LLC and are protected by applicable United States and international intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. No rights are transferred to you beyond this limited license.

You retain ownership of all data you upload or input into the Service. You grant us a limited license to process your data solely to provide the Service.

9. Data and Compliance

9.1 Your Data

You retain ownership of all data you upload or input into the Service ("Your Data"). You grant us a limited license to process Your Data solely to provide the Service. You acknowledge that your data may be processed by AI systems for the purpose of feature delivery.

9.2 Compliance Responsibility

While Jistix provides tools to assist with regulatory compliance (including ZATCA Phase 2 e-invoicing), you remain solely responsible for ensuring your compliance with all applicable laws and regulations in your jurisdiction. Jistix compliance tools are provided as assistance only and do not constitute legal advice.

9.3 Data Processing

Our collection and processing of personal data is described in our Privacy Policy and Data Processing Agreement, incorporated herein by reference.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. RATE ESTIMATES PROVIDED THROUGH THE PLATFORM ARE NOT GUARANTEED AND MAY DIFFER FROM ACTUAL CARRIER RATES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BORDERLESS DISTRIBUTION NETWORK, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Borderless Distribution Network, LLC and its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your mishandling of data accessed through integrations
• Your violation of any applicable law
• Inaccurate shipment data submitted by you

13. Term and Termination

13.1 Term

These Terms remain in effect for the duration of your subscription and thereafter as required to enforce rights and obligations that survive termination.

13.2 Termination by You

You may cancel your subscription at any time with 30 days notice as described in Section 5.4.

13.3 Termination by Us

We may suspend or terminate your access immediately and without notice if you violate these Terms, fail to pay subscription fees, or if we determine that continued access poses a risk to the Service or other users.

13.4 Effect of Termination

Upon termination, your license to use the Service ceases immediately. You may export your data for 30 days following termination. After 30 days, your data may be deleted, except where retention is required by applicable law.

14. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond the reasonable control of the affected party, including but not limited to natural disasters, acts of government, internet or telecommunications failures, power outages, pandemics, or acts of terrorism.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles.

15.2 Dispute Resolution

Any dispute arising from or relating to these Terms or the Service shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be resolved by binding arbitration administered under the rules of the American Arbitration Association (AAA) in New Castle County, Delaware, USA.

15.3 Class Action Waiver

You waive any right to participate in class action litigation or class-wide arbitration.

15.4 Exception

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

16. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy, Data Processing Agreement, and Acceptable Use Policy, constitute the entire agreement between you and us regarding the Service.

Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.

Waiver. Our failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.

Assignment. You may not assign these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.

Updates. We reserve the right to update these Terms at any time. We will notify you via email at least 14 days before material changes take effect. Continued use of the Service after changes constitutes acceptance.
